INDEPENDENT CONTRACTOR SERVICES AGREEMENT

THIS INDEPENDENT CONTRACTOR SERVICES AGREEMENT (this “Agreement”) is a legally binding agreement between you (“you” or “your” or "The Contractor") and Chantilly Lace LLC ("Chantilly Lace") that defines the terms and conditions by which Chantilly Lace wishes to have you provide certain services pursuant to an assignment.

By clicking on the “SUBMIT” button on your onboarding form, you acknowledge and agree that: (i) you have reviewed and understand this Agreement; (ii) you agree to be legally bound by the terms and conditions of this Agreement; and (iii) your provision of Services (as defined below) will be governed by this Agreement. If you do not agree or are not willing to be bound by the terms and conditions of this Agreement, you should not click on the “SUBMIT” button and contact your department leader.

WHEREAS, Chantilly Lace LLC requests The Contractor to perform services for given assignments.
​
WHEREAS, the Chantilly Lace LLC and The Contractor desire to enter into an agreement, which will define respective rights and duties as to all services to be performed;
​
NOW, THEREFORE, in consideration of covenants and agreements contained herein, the parties hereto agree as follows:
​
PHOTOGRAPHY AND/OR VIDEOGRAPHY SERVICES
​
Chantilly Lace LLC shall retain The Contractor to provide Chantilly Lace LLC with photography and/or videography services, which shall include, without limitation:
​
Assist with photographing and/or filming clients during booked Weddings and Events. The Contractor is expected to capture key moments both in a traditional and photojournalistic fashion in accordance to the Team Member Handbook. The contractor is expected to review and adhere to rules, expectations and requirements outlined in the team member handbook.
​
The Contractor acknowledges that he/she received and understands the information regarding rules, expectations and requirements found in the Team Member Handbook.
​
The Contractor acknowledges that he/she received and understands the information contained in their welcome email and onboarding.
​
CLIENT EXPERIENCE. The Contractor is responsible for and obligated under this Agreement to provide an exceptional experience to the Client. Contractor acknowledges and agrees that Events such as weddings are most often a once in a lifetime event and that attempting to reenact or redo the whole or parts of the Event in order to properly provide services is not only unlikely, but is unethical.
​
Contractor acknowledges and agrees that Contractor is representing Chantilly Lace LLC in a professional capacity when fulfilling obligations and providing customer service to the Client. Not providing an exceptional experience to the Client can affect the reputation of Chantilly Lace LLC and thus affect the success of the company.
​
Contractor acknowledges and agrees that the Client cares about more than just receiving photography files, videography files, and other wedding services such as DJ/MC services; the Client expects professional and ethical behavior, timeliness, creativity, leadership and direction, positive attitudes, entertainment, and general politeness. The Contractor should never subject the Client or their guests to rudeness, unethical and unprofessional behavior, tardiness, lack of leadership and direction, negative attitudes, and impoliteness. If the Client makes any valid and provable claims that the Contractor has subjected the Client to any such negative aforementioned conditions while performing their professional duties obligated by this Agreement, then the Contractor will have been found in violation of these terms and become a material breach of this Agreement. Chantilly Lace LLC reserves the right to withhold any and all payments expected by Contractor while investigating claims against them, and can subject the Contractor in Chantilly Lace LLC’s sole discretion not to remit payment for services, even if the Contractor has already submitted, or is expected to submit their Event files to Chantilly Lace LLC.
​
Contractors should also avoid bringing any problems they’re experiencing at the Event to the attention of the wedding clients, unless only the wedding clients are the ones who are capable of solving the Contractor’s issue or problem. The Contractor understands that bringing issues or problems to the attention of wedding clients can cause chaos, confusion, negative attitudes, unnecessary and unwarranted stress, and other negative emotions that can affect how they perceive their Event to be going. If problems or issues can be solved by the Contractor, Chantilly Lace LLC, a wedding coordinator, a venue staff member, etc. then that should be exhausted first. Only involve the wedding clients into an issue or problem as a last resort option. Contractors should not want to be responsible for ruining a wedding client's Event, as that is extremely unprofessional.

COMPENSATION
The work performed by The Contractor shall be performed at the rates set forth below, and not exceed the total estimated amount specified below:

Wedding Photography & Events (Wedding Photography could include rehearsal, pre-wedding, ceremony and reception photographs)

$55 per hour for second shooter services.

$60 per hour for team/shared-lead services.
-
$75 per hour for lead shooter services.

Portrait Sessions (Portrait sessions could include families, couples and seniors to last approximately an hour, or Mini-Portrait Sessions to last approximately 25 minutes).

40% of the session rate for required services.

Training/Shadowing:
-
$15 per hour for the trainee. An additional $5 per hour for the trainer.

$10 per hour for the shadower.

Wedding Videography & Events: (Videography can include weddings, events and portrait/lifestyle sessions.)

$60 per hour for second shooting services.

$85 per hour for lead shooter services

Local Travel Compensation:
-
Any miles accumulated over 100 miles per round trip will be compensated at the rate of .50 cents per mile. (i.e. If you drove 200 miles for your round trip, 100 miles of that trip will be paid to you. The first 100 miles is at your own expense.)

Out of State Travel Compensation:
-
Out of state travel is agreed upon on a case-by-case basis. If required, Chantilly Lace will provide hotel accommodations, airfare, rental vehicles and/or transportation at no cost to you. ​

Adjustments to Compensation. In the event that any changes materially impact the cost of The Contractor performing the services or the time required for such performance, the parties shall negotiate in good faith a reasonable and equitable adjustment in the applicable Fees and schedule, as applicable.
​
Work Product & Ownership. Any and all Work Product, including any ideas, concepts, information, materials, improvements, designs, artwork, photographs, video content, other copyrightable work, and any other work product created, conceived or developed by you (whether alone or jointly with others) under this Agreement, including all copyrights, trademarks, trade secrets, and other intellectual property rights therein (the “Work Product”) will be considered “work for hire” to the extent allowed by law. As such, the Work Product will be the sole property of the applicable Client and Chantilly Lace in perpetuity, throughout the world in any and all media.
​
The Contractor understands that they shall not have any right or copyrights of the raw content, finished product by Chantilly Lace LLC or service. The Contractor fully understands that any contract and/or assignment performed for Chantilly Lace LLC is considered and is the property of Chantilly Lace LLC. Written or verbal consent by Chantilly Lace LLC must be given before the The Contractor can use or share and completed photography services for personal gain.
During the course of performing Photography and/or Videography Services, The Contractor may use RAWs for their own portfolio building in growth, but understands that any posting to social media, website or otherwise will only be done sixteen (16) weeks after the assignment date. The Contractor understands that tagging, mentioning or naming any persons, venues or vendors, etc. associated with the assignment is strictly prohibited.
​
Gear. Chantilly Lace requires two (2) full frame cameras for a wedding assignment, with a wide lens and a telephoto lens.
The Contractor is responsible for of his or her own gear, including but not limited to, professional full-frame camera bodies, professional low aperture lenses, flashes, remote triggers, light stands and batteries. If The Contractor does not own the required gear to appropriately finish the job, it is the responsibility of The Contractor to source the gear from Chantilly Lace LLC's gear closet prior to the job. The Contractor will shoot the assignment on SD cards provided by Chantilly Lace LLC. The Contractor may request gear at any time in accordance to the above mentioned clause.

The Contractor acknowledges that he/she has reviewed and understands the equipment requirements outlined in the Team Member Handbook.
​
Quality of Work. As outlined in the Team Member Handbook, Chantilly Lace expects expect exceptional service and quality from our The Contractor at all times and has a zero tolerance policy for lack of performance. The Contractor is responsible for providing quality work as outlined in the Team Member Handbook. The Contractor will receive feedback from their leader for issues that can be improved upon and agrees that if the issues are not improved upon in a reasonable timeframe determined by their leader then The Contractor will be released from this contract and will no longer receive assignments from Chantilly Lace LLC.

PLANNING & COORDINATION SERVICES

Chantilly Lace LLC shall retain The Contractor to provide Chantilly Lace LLC with event planning and day-of-coordinating services, which shall include, without limitation:

Making sure the wedding day is executed as perfectly as possible. Our coordination team is the face of this business, so the bar is set high for every team member! We expect the following:

COMPENSATION
The work performed by The Contractor shall be performed at the rates set forth below, and not exceed the total estimated amount specified below:

Lead Planner/Coordinator

40% of the service rate. At the time of booking, you'd receive 15%, then you'd receive the remaining 85% after the wedding's completion.

Expenses. Chantilly Lace LLC shall reimburse The Contractor for all pre-approved, reasonable and necessary expenses, including, necessary tools, emergency kit items, domestic and foreign travel, lodging and meal expenses incurred in connection with the required coordination services. This will be agreed upon before the contractor begins the assignment.
​
Payment. Compensation shall be issued within 96 hours of the The Contractor's payment request submission. Payment requests may be submitted after performance of the work on the assignment.
​
The Contractor has reviewed and understands the Compensation portion of the Team Member Handbook. The Contractor understands and agrees that failure to perform, insubordination, violation of the rules, expectations and requirements outlined in Team Member Handbook, subpar quality or any breach of this contract will result in a decreased pay amount of minimum wage or a complete void of all payment due.

PHOTO BOOTH SERVICES​
​
Chantilly Lace LLC shall retain The Contractor to provide Chantilly Lace LLC with Photo Booth Services, which shall include, without limitation:
​
Setting up the photo booth area, including but not limited to the backdrop, table with props and the photo booth tower. Overseeing guests while they are in the photo booth area and making sure that the prop table remains organized throughout the duration of the event.
​​
Specific job duties and requirements are found in the Team Member Handbook. The contractor is required to review and adhere to rules, expectations and requirements outlined.
​
COMPENSATION
The work performed by The Contractor shall be performed at the rates set forth below, and not exceed the total estimated amount specified below:

Chantilly Lace LLC shall retain The Contractor to provide Chantilly Lace LLC with Photo Booth Services, which shall include, without limitation:

Perform digital imaging editing, retouching and manipulation services on the provided RAW images to match the Chantilly Lace brand.
​​
Specific job duties and requirements are found in the Team Member Handbook. The contractor is required to review and adhere to rules, expectations and requirements outlined.

​
MISCELLANEOUS TERMS
​
Status. The Contractor is an independent contractor of Chantilly Lace LLC . Nothing contained in this Agreement shall be construed to create the relationship of employer and employee, principal and agent, partnership or joint venture, or any other fiduciary relationship.
​
No Authority. The Contractor shall have no authority to act as agent for, or on behalf of, Chantilly Lace LLC , or to represent Chantilly Lace LLC , or will bind Chantilly Lace LLC in any manner without prior consent.
​
No Employee Benefits. The Contractor shall not be entitled to worker's compensation, retirement, insurance or other benefits.
Representations and Warranties. Chantilly Lace LLC and The Contractor respectively represents and warrants to each other that each respectively is fully authorized and empowered to enter into the Agreement and that their entering into the Agreement and to each parties knowledge the performance of their respective obligations under the Agreement will not violate any agreement between Chantilly Lace LLC or The Contractor respectively and any other person, firm or organization or any law or governmental regulation.
​
Confidential Information. The Contractor shall not, during the time of rendering services to Chantilly Lace LLC or thereafter, disclose to anyone other than authorized employees or independent contractors of Chantilly Lace LLC or use for the benefit for any entity other than the Chantilly Lace LLC any information of a confidential nature, including but not limited to, information relating to: any such materials or intellectual property; any of the Chantilly Lace LLC projects or programs; the technical, commercial or any other affairs of Chantilly Lace LLC ; or, any confidential information Chantilly Lace LLC has received from a third party.
​
Taxes. Chantilly Lace LLC shall not be responsible for federal, state and local taxes derived from The Contractor’s net income or for the withholding and/or payment of any federal, state and local income and other payroll taxes, worker's compensation, disability benefits or other legal requirements applicable. The Contractor is responsible for submitting a W9 to Chantilly Lace LLC and will receive a 1099 in return each calendar year. The Contractor understands that Chantilly Lace LLC will not submit payment without a W9.
​
Assistance. The Contractor further agrees to provide all assistance reasonably requested by Chantilly Lace LLC, both during and subsequent to the Term of this Agreement, in the establishment, preservation and enforcement of Chantilly Lace LLC rights in the Work Product.
​
Non-Solicitation. During the term of this Agreement and after any termination of this Agreement, The Contractor will not, without the prior written consent of the Chantilly Lace LLC either directly or indirectly, on The Contractor's own behalf or in the service or on behalf of others, solicit or attempt to solicit, divert or hire away any person employed by the Chantilly Lace LLC, or any customer of Chantilly Lace LLC.
​
Term. This Agreement shall commence on the date the onboarding form is submitted and agreed upon and shall remain in effect until The Contractor formally resigns or is terminated. The Contractor is bound by the terms and conditions of this agreement for each assignment he/she accepts.
​
Non-Compete. The Contractor agrees that he or she is welcome to engage in the business of photography and/or videography outside of contracted Chantilly Lace LLC jobs, but only in accordance with the above mentioned non-solicitation clause. The Contractor understands that any business outside of Chantilly Lace LLC are independent and in no way associated with Chantilly Lace LLC. The Contractor agrees that if the prospective client wishes, believes or requests to be a client of Chantilly Lace LLC that the client will be forwarded to Chantilly Lace LLC and not handled independently. The Contractor will not slander or attempt to divert clients away from Chantilly Lace LLC. This clause shall be effective regardless of the reason for the termination or resignation of the contract.
​
Breach of Restrictive Covenants: In view of the irreparable harm and damage which would occur to the Chantilly Lace LLC's business by a breach of the restrictive covenants in this Agreement, and in view of the lack of an adequate remedy at law to protect the business' interest, the Contractor hereby consents to the issuance of an injunction enjoining any activity in violation of these restrictive covenants.
​
Failure to Perform: The Contractor acknowledges that in addition to regular damages related to a failure to perform this Agreement, he or she may also be liable to Chantilly Lace LLC for consequential damages such as lost business opportunities or damage to good will. The Contractor also acknowledges that he or she will not be compensated.
​
Loss or Injury: The Contractor agrees that Chantilly Lace LLC shall not be responsible for any loss or injury suffered by the Contractor caused by or sustained during the Contractor's performance of this Agreement.
​
Indemnification: The Contractor agrees to fully exonerate, indemnify, and hold harmless Chantilly Lace LLC from and against all claims or actions arising out of law or equity; and that the Contractor shall assume all expenses incidental to Chantilly Lace LLC ‘s defense of any such claims or actions based upon or arising out of damage or injury (including death) to persons or property caused by or sustained during the Contractor's performance of this Agreement, including attorneys fees, costs, and expert witness fees.

TERMINATION
​
Termination. This Agreement may be terminated in writing by Chantilly Lace LLC or by the The Contractor at any time for any reason, with or without cause. Notice of termination must be provided in writing.
​
Grounds for Termination. Failure to perform, insubordination, violation of the rules, expectations and requirements outlined in this document, subpar quality or any breach of this contract can result in termination.
​
Payment Upon Termination. Chantilly Lace LLC will pay The Contractor for all Services performed through the date of termination.
​
Completion of Scheduled Events.The Contractor is expected to complete any existing services scheduled prior to the request for termination of this agreement. The Contractor understands that services may be scheduled for dates later and after the termination of this agreement. No further jobs will be assigned, and the agreement will remain in effect until the last scheduled job is completed.
​
​You are an Independent Contractor under the terms of this Agreement. The acceptance of work order(s) does not establish an employment relationship with Chantilly Lace or any Client. As such, you will pay any and all self-employment, or other taxes of any nature imposed upon the payment you receive as a result of providing the Services hereunder.
​
Failure by Chantilly Lace LLC to exercise any and all rights under the terms of this Agreement or enforce any part herein shall not limit its rights to exercise said rights in the future and shall not be considered a waiver of any right.
​
If any provision of this Agreement is declared invalid, the remainder of the agreement will remain in force and intact.
This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina.
​
By electronically signing you agree to all terms and conditions of this contract. You also agree that you are at least 16 years of age, legally able to work in the United Sates and are competent to contract in your own name. You agree that you have read this contract and fully understand the contents, meaning, and impact of this contract.
